Terms of Service

1. Who we are

PayMint is a trading name of PayMint Limited, a company registered in New Zealand (NZBN 9429053864352). PayMint Limited ("we", "us") provides an invoicing and payments tool for New Zealand small businesses. These terms apply when you create an account and use the service.

2. What the service does

PayMint lets you create and send invoices, with GST calculated automatically (or switched off if you're not GST-registered), and lets your customers pay by card, Apple Pay or Google Pay. Payments are processed by Stripe and paid directly into your own connected bank account — PayMint does not hold or take custody of your funds at any point. A 1% fee is deducted automatically from each payment your customer completes — that 1% is inclusive of any GST payable on our fee — and there is no monthly fee or setup cost. If we ever charge you less than 1% — for example a promotional or individually agreed rate — that's a discount from these terms, not a change to them. You can choose in Settings to pass the cost of taking a card payment on to whoever pays your invoice. If you do, PayMint calculates that charge so it recovers what the payment costs you and no more, and shows it on the invoice, the quote and the payment page before your customer commits — but the charge is yours, made by you to your customer, and you are responsible for it being lawful in your circumstances. It forms part of what you supply, so if you are GST-registered, GST applies to it as it does to the rest of your invoice. Stripe separately deducts its own standard card-processing fee from each payment, under Stripe's own terms and pricing (see stripe.com/nz/pricing) — this is set by Stripe, not by us, and applies whether or not our 1% fee does. As of 6 August 2026, Stripe's published rates were 2.65% + NZ$0.30 for New Zealand cards and 3.5% + NZ$0.30 for international cards. Stripe may change these at any time.

3. Your account

You must provide accurate information when signing up, including your business details and GST registration status, and keep your login credentials secure. You're responsible for activity that happens under your account, and for the accuracy of the invoices you send to your customers.

4. GST, tax and currency

GST is calculated at the standard rate as a convenience based on the GST-registration status you set in your account settings. This is not tax advice — you're responsible for confirming your own GST obligations, ideally with an accountant or Inland Revenue, and for correctly setting your registration status in the app.

Every amount shown anywhere in PayMint — on quotes, invoices, receipts, PDFs, emails and reports — is in New Zealand dollars (NZD). Where you see a dollar sign, it means NZD, and payments are charged in NZD. The service does not currently support any other currency.

5. Payments and third parties

Payments are processed by Stripe, via a Stripe Express connected account you set up yourself in Settings — invoice/receipt emails are sent via Resend, and the service is hosted on Vercel. Connecting your account means you also accept Stripe's own Connected Account Agreement, separately from these terms. Because Stripe holds the platform (us) responsible for activity on connected accounts, if Stripe debits us for a refund, chargeback, dispute, or fine arising from an invoice you sent, you agree to reimburse us for that amount — for example, by us deducting it from a future payment owed to you (we'll tell you when we do this, and show the amount and the invoice it relates to) or invoicing you directly. We're not responsible for outages or issues caused by these third-party providers.

6. Your responsibilities to your customers

When a customer pays an invoice you sent through PayMint, you — not PayMint — are the seller they're dealing with. That means it's on you to accurately describe what you're charging for, agree fair terms with your customer before the job starts, and deal with any refund request or dispute directly and promptly if something's gone wrong. PayMint isn't a party to that transaction and can't issue refunds or resolve disputes on your behalf — refunds are handled through your own Stripe dashboard.

7. Acceptable use

Don't use PayMint to invoice for anything illegal, to defraud a customer, or for a business type on Stripe's restricted or prohibited list (for example, certain financial services, adult content, or unlicensed money transmission). Stripe can independently suspend or terminate a connected account for this regardless of anything we do, and we can suspend or close your PayMint account too.

8. Business use

PayMint is a tool for businesses. By creating an account you confirm you're acquiring the service in trade and for business purposes. On that basis, you and we agree that the Consumer Guarantees Act 1993 does not apply to the service, and that sections 9, 12A and 13 of the Fair Trading Act 1986 do not apply to the extent section 5D of that Act allows — and we both agree it's fair and reasonable to contract out in this way. None of this affects your own customers' rights against you: consumers you invoice keep all of their usual protections under those Acts.

9. Disclaimer and liability

The service is provided "as is", and we don't promise it will be uninterrupted or error-free. To the maximum extent the law allows: we aren't liable for indirect or consequential loss (including lost profits or lost data) arising from your use of the service, from third-party outages, from incorrect information you enter, or from disputes between you and your customers; and our total liability to you for all claims, however they arise, is capped at the total 1% fees you've paid us in the 12 months before the event giving rise to the claim. Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited.

10. Ending your account

You can stop using PayMint at any time, and close your account yourself from Settings — we email you a full export of your records before anything is deleted. We may suspend or close an account immediately for misuse or non-payment of fees owed; if we close your account for any other reason, or wind the service down, we'll give you at least 30 days' notice by email first. Ending your account doesn't affect fees already payable on invoices already paid.

We also close accounts that were never used. If an account has gone six months without a single invoice being created and without a Stripe account connected, we email the address on it giving 30 days' notice, and close it after that unless it gets used in the meantime — sending an invoice or connecting Stripe is enough to stop it. Quotes on their own don't count. You'll be emailed a copy of everything the account holds before anything is deleted, and since PayMint only charges when an invoice is paid, an account in this position has never owed us anything.

Your invoices are business records Inland Revenue generally requires you to keep for seven years. You can download your invoice PDFs and GST report at any time while your account is open, and if your account has been closed you can email us for a copy of your records.

11. Changes to these terms

We may update these terms from time to time. If a change is material — for example to fees, liability, or how payments work — we'll give you reasonable advance notice (normally at least 14 days) by email or a notice in the app before it takes effect. If you don't agree with a change, you can close your account before it takes effect; continuing to use PayMint after that date means you accept the updated terms.

12. Governing law

These terms are governed by New Zealand law, and you and we each submit to the non-exclusive jurisdiction of the New Zealand courts and tribunals.
